
Governance
ENMAX's Board of Directors and management are committed to leadership in corporate governance. This is achieved by continually assessing our governance practices against evolving policies, practices and requirements. Our focus is on ethical business practices, leadership strength and continuous improvement. ENMAX's goal is to meet or exceed guidelines set out by CSA National Policy 58-201 – Corporate Governance Guidelines, which formalizes corporate governance best practices.
The ENMAX group of companies is independent and distinct from The City of Calgary, our sole shareholder. ENMAX is managed by an 11-member Executive Leadership Team and governed by a 13-member Board of Directors, with 10 directors or 77% who are considered independent. Two non-independent directors are Aldermen with The City of Calgary and the other non-independent director is ENMAX President and CEO, Mr. Gary Holden. ENMAX defines an independent director as one having no direct or indirect material relationship with the corporation that could reasonably interfere with the exercise of a member's judgment.
The Board, its committees and each director participate in yearly assessments of their effectiveness and contribution. The process for determining the qualifications of the board members is to perform an in depth review of a Board Skills Matrix at least annually, to identify those competencies and skills considered necessary for Board members. Environmental expertise is part of the selection criteria.
ENMAX has developed a Principles of Business Ethics policy, which all staff and Board members must comply with and receive training thereon. It requires the declaration of any actual, potential or perceived conflict of interest.
The shareholder has a minimum of two meetings with the Board throughout the year, including the Annual General Meeting with the shareholder. Mr. Gary Holden, ENMAX President and CEO, is a member of the Board of Directors and holds regular town hall meetings with employees throughout the year. Employees are encouraged to ask questions on a face-to-face basis or through email.
Annually, key performance indicators about ENMAX's health, safety and environmental performance are included in the compensation evaluations of employees, senior executives and management.
